The European Citizens' Seminars are "the citizens' contribution to European public policy design". On this blog, you will find the Public Policy Proposals resulting from the common work of small groups of European professionals gathered for several days in Erfurt (Germany) to discuss a specific, concrete issue. You will engage in a lively debate on the issue being discussed and on the proposals being made by this group. The purpose is that you, European citizens, intervene early in the design process of public policies in Europe.

Enhancing stakeholder diversity in the board room

The Erfurt Meetings – March 2008

With globalization, the world is becoming more and more complex and interconnected. In business, this complexity and interdependence are reflected through the increasing pressure of different stakeholders, internal and external to the firm.

We believe diversity can promote and bring to the Board the necessary capabilities, creativity, openness and flexibility that today’s strategic challenges demand.

We recommend that the Board tries to achieve diversity of members, not only in the traditional areas of the company, but especially in areas reflecting new pressures, demands and expectations of the society such as issues related to the company’s operations in emerging countries, inequality, environment, creation and transmission of knowledge, human rights, etc.

• Diversity should not be understood as an imposition of the society but as a proof of the responsibility of the company towards its internal and external stakeholders. • Diversity is not an end but a means for the harmonization of interests for the long term benefit of the company and the society. • Diversity should be promoted mainly not by law but by conviction, agreement and transparency, although law and recommendations could help. • The diversity should be sought mainly to face the current and future challenges of the company, the resources needed, the capacities that a company has to develop and the externalities it creates. • We propose for Boards to pilot and make the experience of diversity and to report on it. • The dissemination of the experience of Board diversity that is already implemented in the business practice should be promoted by relevant institutions such as Board associations, business associations, academics, etc.

In regard to diversity, the Board composition should be an expression of the understanding and practicing of corporate responsibility in a global context.

This document is the output of the common work of a group of 11 European professionals, gathered in Erfurt (Germany) from 15th to 18th March 2008. The group members originate from 10 different European Union Member States (Belgium, Denmark, Finland, Hungary, Italy, the Netherlands, Poland, Slovenia, Spain, Sweden). They have an extensive experience in the issues of corporate governance, gained in positions of general management of corporations, in Boards of Directors and in Supervisory Boards, in executive search, in trade unions and as researchers and professors in business schools. Who rules European corporations?

Enhancing stakeholder diversity in the Board room.

Today, the major decisions in economic life are taken by people having followed the same academic and professional curriculum, and sharing the same interests and ideology, with a risk of dwindling legitimacy and of collective mistakes. What diversity and whose stakeholders’ interests should be represented in the Board of Directors of European corporations? How?

This is the subject of our first European Citizens’ Seminar, held in Erfurt (Germany) from 15th to 18th March 2008.

The Public Policy Proposals resulting from this Seminar will be publicised in a press conference in Brussels (European Journalism Centre) on 10th April 2008, and will be immediately made available on this blog, for further comments and discussion! Be ready.

About the European Citizens’ Seminars

The association organising the European Citizens’ Seminars was founded in Erfurt (Germany) on 7th May 2006, by 7 citizens from 6 different European countries (Bulgaria, France, Germany, Hungary, Italy, Portugal). You will find detailed information on our activities on our website.

Our aim is to broaden the range of people that contribute to public policy design at European scale, by mobilising the knowledge and experience present in the professionals of the field being addressed. We indeed believe that these professionals, (in private firms, public service, trade-unions, academia and NGOs), have developed in their everyday practice a direct and first-hand knowledge of their field, and master an in-depth theoretical understanding of it that leverages their higher education background. They collectively represent a vast and untapped source of knowledge, experience and informed opinion, that rarely is mobilised in the design of public policies.

Our activity is thus to gather ca. 20 such professionals in 4-day workshops, with the purpose each time of collectively designing Public Policy Proposals that address the issue at stake. Our first workshop is on 15th-18th March 2008, with the theme: “Enhancing stakeholder diversity in the Board room“.
